THIS SUBSCRIBER LISTINGS AGREEMENT (“Agreement”) is effective as of this 16th day of May, 2006, by and between R.H. Donnelley Publishing & Advertising, Inc. (f/k/a Sprint Publishing & Advertising, Inc.), a Kansas corporation (“RHDPA”), CenDon, L.L.C., a Delaware limited liability company (“CenDon”), R.H. Donnelley Directory Company (f/k/a Centel Directory Company), a Delaware corporation (“RHDDC”) (RHDPA, CenDon and RHDDC are referred to collectively in this Agreement as “Publisher”), Embarq Corporation, a Delaware Corporation (“Embarq Parent”), and Embarq Minnesota, Inc.
