The undersigned creditor (the “Creditor”) hereby irrevocably subscribes for 630,078 common shares (the “Settlement Shares”) of Mukuba Resources Limited (the “Company”) at a subscription price of $0.075 per Settlement Share in full and final payment of $47,225.87 in indebtedness owed to the Creditor by the Company (the “Debt”), consisting of legal services ($33,900.00) and cash advances ($13,355.87), and upon issuance of the Settlement Shares to the Creditor, the Debt shall be fully and finally paid, and the Company shall have no further liability whatsoever to the Creditor in respect of the Debt.
