This Subscription and Master Services Agreement (“Master Agreement” or “Master Agreement”), is between Subscriber (as identified in an Order made subject to this Master Agreement) and Second Street Media, Inc. (a wholly-owned subsidiary of Upland Software, Inc.), for itself and on behalf of its Affiliates (“Second Street”) (collectively “Parties” and individually a “Party”), and sets forth the general terms and conditions applicable to the Products and Services provided by Second Street to Subscriber. The details of Subscriber’s purchase of specific products and related services shall be set forth in an Order or Statement of Work referencing this Master Agreement, and upon execution by the parties, each Order or Statement of Work shall be made subject to this Master Agreement (each such Order or Statement of Work together this Master Agreement, an “Agreement”). The Agreement is effective as of the date such Order or Statement of Work was agreed to by the parties (the “Effective Date”).
