THIS SVOD/FVOD LICENSE AGREEMENT (this “Agreement”), dated as of [ ] [ ], 2010 is entered into by and between Crackle, Inc., a Delaware corporation with an address at 10202 W. Washington Boulevard, Culver City, California 90232 (“Licensor”) and GoGoPop, Inc., a Delaware corporation, with an address at 2973 Harbor Blvd., Suite 810, Costa Mesa, California 92626 (“Licensee”). For good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties hereto agree as follows:
