WHEREAS , SRC entered into the Sweetwater River Conservancy Conservation Bank Agreement dated December 23, 2014 (the “CBA”), as amended on December 6, 2017, by and between SRC and the U.S. Fish and Wildlife Service (the “USFWS ”), which provides for the establishment of the Sweetwater River Conservancy Conservation Bank (the “SRCCB ”) and the creation and use of credits (“Credits ” as defined in the CBA) by third-party Credit purchasers. All capitalized terms not otherwise defined herein shall have the meaning ascribed to such terms in the CBA.
