We are hereby inviting you, subject to the terms and conditions set forth below, to serve as the agent of your customers (“Customers”) for purposes of performing certain administrative functions in connection with purchases and redemptions of Institutional Class 1 shares of beneficial interest (the “Shares”) of various participating portfolio series (each a “Fund” and collectively the “Funds”) of the Tamarack Funds Trust (“Tamarack”) from time to time upon the order and for the account of Customers, and to provide related services to your Customers in connection with their investments in the Funds.

This Agreement is made and entered into as November [ ], 2008 by and between Tamarack Distributors Inc. (“TDI”), a Missouri corporation and RBC Capital Markets Corporation, a corporation organized and existing under the laws of the State of Minnesota (“RBC CM”). The Funds, together with the date each Fund adopts this Agreement, are set forth in Schedule A hereto, which shall be updated from time to time to reflect additions, deletions or other changes thereto.
