IN CONSIDERATION OF, and in reliance upon, the recitals and the mutual covenants set forth in this Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Village and the Property Owner/Business Owner (collectively, the “Parties”) mutually agree as follows:

This Second Amendment (“Amendment No. 2”) to the Tax Increment District No. 4 Development Agreement (“Agreement”) is made and entered into as of this day of , 2011, by and between Oak Street #1, LLC (“Developer”), and E.J. Plesko and Associates, Inc. and Fitchburg Pines Apartments, LLC (“Guarantor”), and the Village of Grafton, a Wisconsin municipal corporation (“Village”), and the Village of Grafton Community Development Authority, a quasi-governmental body organized and existing under Section 66.1335 of the Wisconsin Statutes (“CDA”).
