THIS TECHNOLOGY TRANSFER AND SETTLEMENT AGREEMENT (the “Agreement”) is made and entered into as of November 15, 2006 (the “Effective Date”), by and between VIKING SYSTEMS, INC., a Delaware corporation with offices at 4350 La Jolla Village Drive, Suite 900, San Diego, CA 92122 (“VIKING”), and IVOW Inc., a Delaware corporation with offices at 11455 El Camino Real, Suite 140, San Diego, CA 92130 (“IVOW”).
