THIS TERMINAL ACCESS AND USE AGREEMENT (this “Agreement”) is made this 28th day of January, 2008 (the “Effective Date”), by and among K.C. Asphalt, L.L.C., a Colorado limited liability company (“K.C. Asphalt”), SemMaterials, L.P., an Oklahoma limited partnership (“SemMaterials”), and SemMaterials Energy Partners, L.L.C., a Delaware limited liability company (“SMEP”). K.C. Asphalt, SemMaterials and SMEP are sometimes herein referred to individually as a “Party” and collectively as the “Parties.”
