OPERATING AGREEMENT (“First Amendment”) is made this day of March, 2024 (the “Effective Date”), and is by and between the Ramsey County Regional Railroad Authority, a political subdivision of the State of Minnesota organized pursuant to Minnesota Statutes, Chapter 398A (“RCRRA”), and National Railroad Passenger Corporation, a corporation under the laws of the District of Columbia (“Amtrak”).
