TERMINATION AND SEPARATION AGREEMENT, dated as of May 31, 2011 (the “Agreement”), by and among IFMI, LLC, a Delaware limited liability company (“IFMI”), PrinceRidge Holdings LP, a Delaware limited partnership (“PrinceRidge”), and PrinceRidge Partners LLC, a Delaware limited liability company (“PrinceRidge GP” and together with PrinceRidge, the “PrinceRidge Entities”).
