These terms and conditions of sale and distribution (the “Terms and Conditions”) constitute the terms and conditions of sale between Better Being Co. Wellness Brands Canada Inc., a British Columbia, Canada corporation (“Company”) and the party (i) identified on the face hereof or in any separate distributor agreement or appointment letter signed by Company (“Distributor Agreement”) as a “distributor” or “customer” or (ii) who is identified as the buyer or purchaser in any order submitted to Company (“Customer”) and, together with any Distributor Agreement, constitute the entire agreement of the parties relating to the subject matter herein and supersede all prior discussions and agreements between them regarding the purchase, promotion, marketing, sale and distribution of Products.
