The Terms and Conditions of Sales (“Terms and Conditions”) shall apply to all agreements entered into between Shinano Kenshi Co., Ltd. and/or its affiliates (the “Seller”) with any customer and/or its affiliates (“Buyer”) with regard to the sale of products manufactured and/or sold by the Seller as well as the performance of any services (“Products”). By placing a purchase order to the Seller, the Buyer is deemed to have accepted without reservation the Terms and Conditions. Unless they are specifically accepted by an individual of Seller having the title of vice President or higher in writing in advance, the Terms and Conditions apply to the exclusion of any other terms and conditions set out in the Buyer’s purchase order, its terms and conditions of purchase or, more generally, in the Buyer’s commercial documents, regardless of the date of such terms and conditions or documents. These terms and conditions of sale (hereinafter referred as “Terms”) shall apply to all Purchase Orders, including but not limited to, written purchase orders, electronic purchase orders via EDI, acknowledgments, confirmations, or other instruments entered into between the Parties, purchase offers and/or Purchase and Sale Agreements (hereinafter referred to as “Purchase Order”), submitted to Alpek Polyester Pernambuco S.A. (“Alpek”) or Alpek Polyester Brasil S.A. (“Alpek Brasil”), (Alpek and Alpek Brasil individually referred to as “Company or Seller” or jointly referred to as “Companies or Sellers”) or their subsidiaries and branches with the characteristics established in the same Purchase Order.

This Agreement incorporates only those terms of Seller-accepted purchase orders that relate to the prices or quantities of the Products. Orders or requests for purchases that have not been accepted in writing by Seller are not binding on Seller until and unless the Products are shipped to Buyer. Seller's failure to object to any term or condition contained in any communication from Buyer shall not be deemed a waiver of the terms and conditions herein. This Agreement may be amended, modified or superseded only by means of a written agreement executed by an authorized representative of each party.
