PLEASE CAREFULLY READ THIS APPLICATION TERMS OF USE/LICENSE AGREEMENT AND PRIVACY CONSIDERATIONS (“AGREEMENT”) BEFORE DOWNLOADING, ACCESSING, ACTIVATING, REGISTERING FOR, OR OTHERWISE USING THE REACHLOCAL REPORTING MOBILE APPLICATION OR ITS RELATED SERVICES OR CONTENT (THE “APPLICATION). BY CLICKING ON THE “DOWNLOAD” BUTTON OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY THIS AGREEMENT, AND REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THIS AGREEMENT. THE APPLICATION IS OWNED OR LICENSED AND OPERATED BY REACHLOCAL, INC. (“REACHLOCAL” “US,” “WE,” OR “OUR”), AND/OR ITS THIRD-‐PARTY PROVIDERS. YOUR ACCESS TO AND USE OF THE APPLICATION IS SUBJECT TO THIS AGREEMENT AND ALL APPLICABLE LAWS.

These Terms of Use & License Agreement apply to the Customer’s use of the Product. By accessing, downloading, or using the Product the Customer agrees and submits to this Agreement and to any other documents incorporated by reference in this Agreement. Any use (including for a Trial Period) by the Customer of the Product is strictly subject to this Agreement.

YOU (ALSO KNOWN AS “CLIENT”) AGREE TO BE BOUND BY THIS TERMS OF USE LICENCE AGREEMENT (“AGREEMENT”) IN ANY OF THE FOLLOWING WAYS (A) BY ACCEPTING AN ORDER FORM, (B) BY OPENING THE PACKAGING CONTAINING THE SOFTWARE, (C) BY INDICATING YOUR ACCEPTANCE OF THE FOLLOWING TERMS (BY SELECTING “AGREED” “YES” OR ANOTHER WORD OR PHRASE OF AFFIRMATION), OR (D) BY INSTALLING, COPYING OR IN ANY WAY USING THE LICENCED MATERIALS (as defined in section 1(f), below) PROVIDED TO YOU BY INTERNEURON NORTH AMERICA INC. (HEREAFTER, “INTERNEURON”) AND/OR THAT OF ITS AFFILIATES AS PROVIDED HEREUNDER, TOGETHER WITH ANY UPDATES THERETO.

Matchbook is operated by Sequel BI Solutions, Inc. (“SBIS”), a Florida corporation, with its principal place of business at 411 Pasadena Ave. S., St. Petersburg, Florida 33707. This Terms of Use/License Agreement (the "Agreement") state the terms and conditions under which you may use, access or browse the Matchbook service, the SBIS Website and related software, tools and databases (together as “Matchbook”) and govern your use of Matchbook. By using Matchbook, you (“User” or “you” or “your”) agree to be bound by this Agreement. If you wish to access, use or browse Matchbook, please read this Agreement carefully. If you object to anything in this Agreement or any other policy referred to in this Agreement, you should leave the SBIS Website and discontinue use of Matchbook immediately.

MTConnect is a collaborative effort to develop technical standards and specifications intended to foster greater interoperability between automation/control applications, field systems/devices, and business/office applications in the manufacturing industry (“MTConnect Specifications”), as well as schema, prototype software examples, and related documentation in order to facilitate the implementation of the MTConnect Specifications in compliant applications, drivers, and other services (together with the MTConnect Specifications and any related materials, updates or modifications to any of the foregoing, the “MTConnect Materials”)
