This Second Amended Settlement Agreement (this “Agreement”) is entered into by and between Justin Lovelace (“Lovelace” or “Settlement Class Representative”), individually and as representative of the Settlement Class (defined below), on the one hand, and Educational Computer Systems, Inc. d/b/a Heartland ECSI, erroneously sued as Global Payments Inc. d/b/a Heartland ECSI (“Heartland”) (together with Lovelace, the “Parties”), on the other, in the action entitled Lovelace v. Global Payments, Inc., pending in the Los Angeles County Superior Court, Case No. BC682608 (the “Action”).

Plaintiffs Xue Chen (“Chen”), and Rajeev Tripathi and Monika Tripathi (together, the “Tripathis,” and collectively with Chen, the “Plaintiffs”), and defendants Northland Fountainhead LLC (“Northland”) and FPACP4 Fountainhead, LLC (“FPA”) (collectively, the “Defendants”) and together with Plaintiffs, the “Parties” and each separately a “Party” to the above-captioned action (the “Action”), by and through their attorneys, have entered into the following Third Amended Settlement Agreement which amends and supersedes an initial Settlement Agreement entered into by the Parties as of April 18, 2023, the Amended Settlement Agreement entered into by the Parties as of May 19, 2023 and the Second Amended Settlement Agreement entered into by the Parties as of May 23, 2023 (this Third Amended Settlement Agreement to be referred to hereinafter as the “Settlement Agreement”), subject to the approval of the Court pursuant to Mass. R. Civ. P. 23(c) and G.L. c. 93A, § 9(2).
