This Master Services Agreement (“Agreement”) is effective as of , 20 (the “Effective Date”), by and between TokenEx, Inc., a Delaware Corporation located at 3825 NW 166th St., Suite C1, Edmond, OK 73012 (“TokenEx”), and the signatory party to this Agreement (“Customer”) (each, a “Party” and collectively, the “Parties”). This Agreement sets forth the agreed terms and conditions which govern and control TokenEx’s delivery to Customer of the Services and products set forth on any Proposal executed by the Parties. Any nondisclosure agreement previously executed by the parties is superseded by Section 12 of this Agreement. There are exhibits to this Agreement, including any applicable Proposal, Business Associate Agreement, Security, Audits and PCI compliance which, as amended as necessary from time to time, supplement this Agreement to the extent applicable.
