Each item of tooling and/or equipment (the "Equipment") listed on the attached Exhibit A to this Tooling Bailment Agreement (the "Agreement"), shall be held by Bailee as Bosch's bailee at will pursuant to the terms of this Agreement. Bailee shall only use the Equipment for the purpose of manufacturing production parts (the "Supplies") for Bosch pursuant to purchase orders, scheduling agreements and/or other contracting documents issued by Bosch (collectively the "Supply Agreement"). Bailee shall not turn over possession of the Equipment to any third party without Bosch's prior written consent.

This TOOLING BAILMENT AGREEMENT (this “Agreement”) is dated and effective as of XXX (the “Effective Date”), by and between AUTONEUM NORTH AMERICA, INC., a Delaware corporation, with an address at 29293 Haggerty Road . Novi, MI 48377 (“Autoneum”) and XXX having an address at XXX (“Supplier”). Each of Autoneum and Supplier are also referred to individually as a “Party” and collectively as the “Parties”.
