THIS AGREEMENT is entered into the 2nd day of September, 2009 by and between the IOWA CORN GROWERS ASSOCIATION, a non-profit organization organized under the laws of the State of Iowa, having a place of business at 5505 NW 88th Street, Suite 100, Johnston, IA 50131, (“ICGA”), and ZEA CAPITAL FUND LLC, a Delaware limited liability company, having a place of business at 118 3rd Avenue SE, Suite 630, Cedar Rapids, Iowa 52401 (the "Company" or the “Fund”).
