THIS TRADEMARK LICENSE AND ASSIGNMENT AGREEMENT (the “Agreement”) is made and entered into this 17th day of September, 2010, but effective as of July 29, 2010 (the “Effective Date”) by and between Preferred Apartment Communities, Inc. (“Licensor” or “Assignor”) and Preferred Apartment Advisors, LLC, (“Licensee” or Assignee”).
