This Participation Agreement (“Agreement”) dated this ___ day of ______, 2005, is entered into by and among: Duke Power, a division of Duke Energy Corporation (“Duke”); Carolina Power & Light Company, d/b/a Progress Energy Carolinas, Inc. (“Progress”); North Carolina Electric Membership Corporation (“NCEMC”); and ElectriCities of North Carolina, Inc. (“ElectriCities”), each of which may hereinafter be referred to singularly as a “Participant” and collectively as “Participants”.
