This AIR TRANSPORTATION CHARTER AGREEMENT ("Agreement") dated as of February , 2003, by and between ALLEGIANT AIR, INC., a California corporation with principal offices at 3291 North Buffalo Drive, Suite 8, Las Vegas, Nevada 89129 ("Allegiant") and HARRAH'S OPERATING COMPANY, INC., with principal offices at One Harrah's Court, Las Vegas, Nevada 89119 ("Charterer").
