THIS TRIPARTITE NERC COMPLIANCE AGREEMENT (as the same may be amended in accordance with the terms hereof, this “Agreement”), dated as of May 24, 2016 (the “Effective Date”), is by and between CONSOLIDATED EDISON COMPANY OF NEW YORK, INC., a New York corporation having its principal offices at 4 Irving Place, New York, New York 10003 (“Con Edison”), ORANGE AND ROCKLAND UTILITIES, INC., a New York corporation having its offices located at 1 Blue Hill Plaza, Pearl River, NY 10965 (“O&R”) and NEW YORK TRANSCO LLC, a New York limited liability company having its principal offices at c/o Consolidated Edison Transmission, LLC, 4 Irving Place, New York, New York 10003 (“Transco”; together with Con Edison and O&R, the “Parties” and each, a “Party”).
