THIS TRS PURCHASE AND SALE AGREEMENT dated as of July 19, 2019 (this “Agreement”) is among OUTFRONT MEDIA LLC, a Delaware limited liability company (“Media LLC”), as an originator and as initial servicer (in such capacity, the “Servicer”), the VARIOUS ENTITIES LISTED ON SCHEDULE I HERETO (together with Media LLC, the “Originators” and each, an “Originator”), and OUTFRONT MEDIA RECEIVABLES TRS, LLC, a Delaware limited liability company (the “Buyer”).
