This agreement ("True-Up Agreement") between Delphi Corporation (“Delphi”) and General Motors Company (“New GM”), in their capacity as plan sponsors of the Delphi Retirement Program for Salaried Employees (the “Delphi SRP”) and the Delphi Hourly- Rate Employees Pension Plan (the “Delphi HRP”) and the General Motors Retirement Program for Salaried Employees (the “GM SRP”) and the GM Hourly-Rate Employees Pension Plan (the GM HRP”), respectively, describes certain pension asset transfers to be completed on the effective date of Delphi’s emergence from bankruptcy. This True-Up Agreement (this "Agreement") is made and entered into as of the day of January, 2021, by and among the Parrish Plantation Community Development District, a local unit of special-purpose government established pursuant to Chapter 190, Florida Statutes, and located in Manatee County, Florida (the "District"), Homes by West Bay, LLC, a Florida limited liability company (the "Builder"), and HBWB Development Services, LLC, a Florida limited liability company (collectively, the "Development Manager"), and JEN Tampa 2, LLC, a Florida limited liability company (the "Landowner"), (collectively, Development Manager, together with Landowner, shall be referred to herein as the "Developer"), and Meritus, Corp. a Florida corporation (“District Manager”).
