This First Amended and Restated Trust Settlement Agreement (the “Agreement”), dated as of March 1, 2017, (the “Execution Date”), is made by and among Bank of America, National Association (“Bank of America”) and Countrywide Home Loans, Inc. (“Countrywide”), and (1) the National Credit Union Administration in its capacity as an Agency of the Executive Branch of the United States and as Guarantor of the NCUA Guaranteed Notes Trust 2011-R4 (“NCUA”), (2) The Bank of New York Mellon (“BNYM”), not in its individual capacity, but solely as the Indenture Trustee of NCUA Guaranteed Notes Trust 2011-R4 which holds an interest in the Trust (as defined below), (3) Forethought Life Insurance Company (“Forethought”) (collectively NCUA, BNYM, and Forethought are referred to as the “Initiating Parties”), and (4) upon acceptance as described below, Deutsche Bank National Trust Company (the “Trustee”), solely in its capacity as trustee of the BCAP LLC Trust 2007-AA2 (the “Trust”).
