This agreement (the “Agreement”), dated as of March 14, 2005 (the “Effective Date”), is entered into by and between Eurocinema Corporation, a Delaware Corporation, with offices located at 387 Park Avenue South - 3rd floor New York, NY 10016 (“Eurocinema”), and TVN ENTERTAINMENT CORPORATION, a Delaware corporation, with offices located at 4111 West Alameda Avenue, Burbank, California 91505 (“TVN”) (each, a “Party” and collectively, the “Parties”).
