LICENSE AGREEMENT (this “Amendment”), is entered into by and between Sony Pictures Television Canada, a division of Columbia Pictures Industries, Inc. (“Licensor”), and Netflix, Inc. (“Licensee”) as of December 9, 2013 (“Amendment Effective Date”) and amends that certain Subscription Video-On- Demand License Agreement dated as of August 4, 2010 between Licensor and Licensee, as amended (the “Agreement”). Capitalized terms not otherwise defined herein shall bear the meanings ascribed to them in the Agreement. For good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties hereto agree as follows:
