Pursuant to a Novation Agreement, dated June 4, 2014, between HSBC Bank USA, National Association (“HSBC USA”), us and you, effective as of December 22, 2014, we succeeded to all of the rights and obligations of HSBC USA under that certain First Amended and Restated Unallocated Bullion Account Agreement (the “First A/R Agreement”), dated June 1, 2011, as amended, between HSBC USA and you. Under the First A/R Agreement, HSBC USA agreed to open and maintain for you an Unallocated Account and to provide other services to you in connection with your Unallocated Account. Pursuant to a Second Amended and Restated Unallocated Bullion Account Agreement (the “Second A/R Agreement”) dated July 17, 2015 which was further amended on February 28, 2023, between us and you, we and you agreed to amend and restate the First A/R Agreement in order to make certain amendments.
