We are pleased to announce that effectively immediately Seaboard Marine Ltd. (Seaboard) has become a new Equipment Provider participant to the Uniform Intermodal Interchange and Facilities Access Agreement (UIIA). Seaboard will provide a transition period until August 5, 2013, for Motor Carriers who currently do business with them to submit the necessary information to affect a valid interchange with Seaboard under the UIIA. To follow is their individual addendum to the UIIA Agreement. Please keep this addendum with the other addenda files provided to you by this office.

This document shall serve as “Official Notification” of an Amendment to the CMA-CGM (America) LLC Addendum to the Uniform Intermodal Interchange and Facilities Access Agreement (UIIA), effective April 20, 2014. This revision contains changes to Section B. Charges and Section D. Additional Terms and Conditions Item 3. of the CMA-CGM (America) LLC Addendum to the UIIA. In accordance with Appendix I, Section V, of the UIIA, all participants are hereby noticed of a proposed modification to remove all references to the AAR TOFC/COFC Interchange Rules in the UIIA, which are currently contained in Section D.3.d.(3), Equipment Condition and Exhibit C, Interior - Contamination. Based on the results of an analysis conducted of the AAR Rules, Sections B, F and G versus the UIIA and Exhibits B and C to the Agreement, the Intermodal Interchange Executive Committee (IIEC) unanimously approved the decision to remove the AAR TOFC/COFC Interchange Rules references at its July 31, 2014 meeting. The Committee determined that the reference to this extrinsic document was no longer necessary as the UIIA provisions including the Exhibits can stand on their own. For your convenience, the language slated to be removed from the Agreement is shown on the following page. [Revisions noted with strikethrough]

A memo was sent to all UIIA participants on April 15, 2013 advising that the Intermodal Interchange Executive Committee (IIEC) had adopted specific revisions to the Uniform Intermodal Interchange and Facilities Access Agreement. These proposed modifications were forwarded to all participants for review with a thirty-day comment period. Comments were received by UIIA Motor Carrier participants on two of the proposed revisions, Section E.3.c.(4) and Item D.8., and these comments were forwarded to the IIEC for review and consideration. A conference call was held on June 11, 2013 and the Committee took the following actions:

A memo was sent to all UIIA participants on June 6, 2014 advising that the Intermodal Interchange Executive Committee (IIEC) had adopted a revision to the Participating Party signature page, Section E.1. Equipment Use and Section G.1. Entire Agreement of the Uniform Intermodal Interchange and Facilities Access Agreement (UIIA). The modification restates the current references to bilateral agreement as “bilateral equipment interchange agreements” to clarify which types of bilateral agreements are referenced under the UIIA.

In accordance with Appendix I, Section V, of the UIIA, all participants are hereby noticed of a proposed modification to Sections E.3.c. and E.3.c.(3) that reduces the billing timeframe for over-the-road repairs that occur during the interchange period. The proposed revision places a reciprocal 90 day billing timeframe for over-the-road repairs in the base Agreement and allows an EP to adopt as low as a 45 day billing timeframe for over-the-road repairs within its addendum, as long as it is reciprocal to both the Motor Carrier and the EP. The Intermodal Interchange Executive Committee (IIEC) unanimously approved this modification during a conference call held on October 30, 2014. All submissions must be received by May 15, 2013, in order to be considered. The effective date of these revisions will not be before June 5, 2013.

The UIIA is a standard intermodal interchange contract designed to outline the terms and conditions for the interchange of intermodal equipment between Motor Carriers and Providers of equipment (Ocean and Rail Carriers and Leasing Companies) that participate in the UIIA program. This is the only interchange contract used in the intermodal industry that has been jointly developed by water, rail and motor carriers and can be amended from time to time to meet the needs of an evolving industry.

A memo was sent to all UIIA participants on December 4, 2013 advising that the Intermodal Interchange Executive Committee (IIEC) had adopted a revision to Section B. Definition of Terms of the Uniform Intermodal Interchange and Facilities Access Agreement (UIIA). The modification was to modify the definition under Section B., Item 8. Damage to clarify what is classified as “Damage” under the UIIA. The revision was forwarded to all participants for review and a thirty-day comment period. Three comments were received on the proposed revision and these comments were forwarded to the IIEC for review and consideration. The IIEC reviewed the comments and has decided to move forward and implement the modification to Section B., Item 8. Damage as unanimously approved at its November 18th meeting. The effective date of the revision will be February 10, 2014. To follow is the revision to Section B.8. Damage:

Facilities Access Agreement

The Uniform Intermodal Interchange and Facilities Access Agreement, or UIIA, is a standard bilateral industry contract between Intermodal motor carriers/drayage companies and ocean, rail carriers and/or leasing companies (Equipment Providers). The UIIA was developed as a means of achieving a degree of uniformity in the equipment interchange process. The Agreement clarifies that a Motor Carrier accessing an intermodal facility for the purpose of picking up or dropping of intermodal equipment, assumes the liability for his or her activity at the time they enter the facility. Participation in the Agreement is voluntary and carrier specific. In the event that a dispute arises between a Motor Carrier and Equipment Provider, either party can suspend or terminate the business relationship under this Agreement without jeopardizing the right to do business with other Participants.
