These Standard Terms and Conditions (the “Terms”) are hereby attached to the purchase order and/or agreement, together with any invoices, attachments, appendices, exhibits, specifications, drawings, notes, instructions and other information, whether physically attached or otherwise issued in connection therewith (collectively, the “Agreement”), constitutes the entire and exclusive agreement between The Florida International University Board of Trustees (“FIU”) and the vendor identified in the Agreement (the “Vendor”). FIU’s approval and acceptance of the Agreement is conditioned on Vendor‘s agreement that any terms different from or in addition to these Terms, whether communicated orally or contained in any confirmation, invoice, acknowledgement, release, acceptance or other written correspondence, irrespective of the timing, shall not form a part of the Agreement, even if Vendor purports to condition its acceptance of these Terms on FIU’s agreement to such different or additional term
