This U.S. Pipeline Service & Operating Agreement (the “Agreement”), effective as of ___________, 2006 (“Effective Date”), by and between TransMontaigne Product Services Inc., a Delaware corporation, with offices at 1670 Broadway Street, Suite 3100, Denver, Colorado 80202 (“Operator”), and Rio Vista Operating Partnership L.P.
