This USA SHAREHOLDERS AGREEMENT (this “Agreement”) is made and entered into as of the date first set forth above (the “Effective Date”), by and among Tigre-ADS USA Inc. (formerly known as Tigre USA Inc.), a corporation organized under the laws of Wisconsin, United States of America (the “Corporation”), ADS Ventures, Inc., a corporation organized under the laws of Delaware, United States of America (“ADS Ventures”), and Tigre S.A. — Tubos e Conexões, a corporation (sociedade anônima) organized under the laws of Brazil (“Tigre Parent”). In addition, Advanced Drainage Systems, Inc., a corporation organized under the laws of Delaware, United States of America (“ADS Parent”), joins this Agreement to undertake the specific obligations applicable to ADS Parent set forth in this Agreement.
