This First Amendment to Utility Functions and Services Allocation Agreement (this "Amendment") is made and entered into this day of November, 2015 (the "Effective Date") by and between THE CITY OF BAYTOWN, TEXAS, a municipal corporation and home-rule city situated in Harris and Chambers Counties, Texas (the "City"), and HARRIS COUNTY MUNICIPAL UTILITY DISTRICT NO. 459, a political subdivision of the State of Texas created under the authority of Article XVI, Section 59 of the Texas Constitution and operating under and governed by the provisions of Chapters 49 and 54 of the Texas Water Code, as amended (the "District").
