This LOAN AND SECURITY AGREEMENT (this "Agreement") dated as of December 14, 2004, between SILICON VALLEY BANK, a California chartered bank, with its principal place of business at 3003 Tasman Drive, Santa Clara, California 95054 ("Bank") and Entrada Networks, Inc., a Delaware corporation, Rixon Networks, Inc., a Delaware corporation, Sync Research, Inc., a Delaware corporation, Torrey Pines Networks, Inc., a Delaware corporation and Microtek Systems, Inc., a Wisconsin corporation, all with offices at 5755 Oberlin Drive, Suite 204, San Diego, CA 92121 (jointly and severally, the "Borrower"), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank.
