The Vendor Compliance Agreement (the “Agreement”) describes the expectations for vendors regarding Payment Terms and Conditions, Purchase Order Terms, and Transportation Guidelines. All vendors are required to fully comply with the instructions contained in the Agreement which apply to all francesca’s® Purchase Orders (each a “P.O.” and collectively, the “P.O.’s”). Any failure to follow the Agreement may create delays in delivery, and additional freight and labor costs. All such costs will be passed back to the vendor via an offset chargeback.
