EX-99.1 2 ex1041.htm EXHIBIT 10.41 Exhibit 10.41 EXECUTION VERSION SEPARATION AGREEMENT AND RELEASE This Separation Agreement and Release (this “Agreement”) dated as of March 6, 2017 is made by and between Tiffany & Co. and Tiffany and Company (collectively, the “Company”) and Frederic Cumenal (the “Executive”). WHEREAS, Executive’s employment with the Company is terminating; WHEREAS, Executive is party to the Senior Executive Employment Agreement, by and among Executive, Tiffany & Co. and Tiffany and Company, effective March 10, 2011 (the “Employment Agreement”); WHEREAS, Executive is entitled to certain severance payments and benefits pursuant to the Employment Agreement, as described below; WHEREAS, the Company wishes to obtain a release of claims from Executive and Executive’s agreement to comply with certain covenants; and WHEREAS, if Executive provides and does not revoke the Release (as defined below) and complies with the covenants, the Company will adjust the terms of certain
