This Time-Based Restricted Stock Award Agreement (this “Agreement”), dated as of <INSERT DATE> is entered into by and between The Howard Hughes Corporation, a Delaware corporation (and it successors, the “Company”), and <INSERT GRANTEE NAME> (“Grantee”).
