This Warrant Exchange and Extinguishment Agreement (this “Agreement”) is entered into as of November 1, 2024, by and among PROJECT NICKEL LLC, a Delaware limited liability company (“Holder”), and MGT CAPITAL INVESTMENTS, INC., a Delaware corporation (“Company”).
