This WebShare License Agreement (this “Agreement”) contains the terms and conditions that govern your access to and use of FARO Technologies, Inc.’s cloud computing service WebShare that is hosted on third parties’ servers (“Computing Service”). FARO’s software SCENE (“SCENE”) is required to use the Computing Service. This Agreement is between FARO Technologies, Inc., and its affiliates and subsidiaries, (“FARO”) and you or the entity you represent (“you” or “Licensee”) and takes effect as of the date upon which you acknowledge acceptance of this Agreement via DocuSign or, if earlier, when you use the Computing Service (the “Commencing Date”). You represent to us that you are lawfully able to enter into contracts. If you are entering into this Agreement for an entity, such as the company you work for, you represent to us that you have legal authority to bind that entity.
