This Certification Agreement (this “Agreement”) is entered into by You (as defined below) and Green Business Certification Inc. (“GBCI”), and constitutes a binding agreement between You, on the one hand, and GBCI, on the other hand. As used herein, the terms “You”, “Your”, “Yourself” and “Owner” refer to the individual(s) or entity(ies) listed in signature block below that holds all legal right to possess and control, or, with respect to a Project (defined below) seeking certification under the WELL Community StandardÔ, that has authority to fulfill the obligations herein, in each case with respect to the real and personal property associated with the Project , as may be implemented by a third party such as an architect, property manager or consultant who has been granted authority to act on Your behalf (Your “Agent”). As used herein, the term IWBI refers to International WELL Building Institute PBC, a Delaware public benefit corporation, and its subsidiaries.

The attached WELLTM Certification Agreement or WELL Portfolio™ Agreement or WELL Health-Safety Rating™ Agreement, as applicable (the “Agreement”) was entered into by and between the project or portfolio owner and Green Business Certification Inc., a United States non-profit corporation registered in the District of Columbia with a principal business address located at 2101 L Street, NW, Suite 500, Washington, DC 20037, USA (“GBCI”). The Agreement was entered into for the purposes of pursuing WELL Certification or a WELL Portfolio Score or WELL Health-Safety Rating with respect to the project or portfolio. The project or portfolio, project or portfolio owner, and applicable fees, which are payable to IWBI China (HK) Limited, a Hong Kong limited company (“IWBI”), pursuant to invoices issued by IWBI and delivered to project owner by GBCI on behalf of IWBI, are identified herein.
