This Certification Agreement (this “Agreement”) is entered into by You (as defined below) and Green Business Certification Inc. (“GBCI”), and constitutes a binding agreement between You, on the one hand, and GBCI, on the other hand. As used herein, the terms “You”, “Your”, “Yourself” and “Owner” refer to the individual(s) or entity(ies) listed in signature block below that holds all legal right to possess and control, or, with respect to a Project (defined below) seeking certification under the WELL Community StandardÔ, that has authority to fulfill the obligations herein, in each case with respect to the real and personal property associated with the Project , as may be implemented by a third party such as an architect, property manager or consultant who has been granted authority to act on Your behalf (Your “Agent”). As used herein, the term IWBI refers to International WELL Building Institute PBC, a Delaware public benefit corporation, and its subsidiaries.

As used herein, the term “IWBI” refers to International WELL Building Institute pbc, a Delaware public benefit corporation, and its subsidiaries. You or IWBI may individually be referred to as a “Party” or collectively as the “Parties.”

The attached WELLTM Certification Agreement or WELL Rating™ Agreement, as applicable (the “Agreement”) was entered into by and between the project owner and International WELL Building Institute pbc, a United States public benefit corporation registered in the State of Delaware, USA, with a principal business address located at 220 Fifth Avenue, 8th Floor, New York, NY 10001, USA (“IWBI”). The Agreement was entered into for the purposes of pursuing WELL Certification or WELL Rating with respect to the project. The project, project owner, and applicable fees, which are payable to IWBI China (HK) Limited, a Hong Kong limited company (“IWBI HK”), pursuant to invoices issued and delivered to project owner by IWBI HK on behalf of IWBI, are identified herein.
