This Agreement is made and entered into between PLEDGER OPERATING COMPANY, INC. (“Pledger”), a Mississippi corporation, and BETA OIL & GAS, INC. a Nevada corporation (“Beta”), Pledger and Beta are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties”.
