WHEREAS, the Parties entered to that certain Stadium Parking Settlement Agreement effective as of November 15, 2016, and recorded as Instrument No. 2016-0847071 in the Official Records of Maricopa County, Arizona (the “Stadium Settlement Agreement”), which Stadium Settlement Agreement affects the real property described on Exhibit A attached hereto;
