Odkládací podmínky prvního Čerpání. První Čerpání je podmíněno tím, že: a) Klient uhradil Bance ceny sjednané v souvislosti s poskytnutím Financování; b) Klient poskytl Bance dokumenty prokazující udělení předchozího souhlasu oprávněného orgánu Klienta (např. valná hromada, dozorčí rada, zastupitelstvo obce) k uzavření Rámcové smlouvy, pokud takový souhlas vyžadují právní předpisy, popřípadě rozhodnutí jiných osob nebo orgánů veřejné správy příslušné jurisdikce opravňující Klienta uzavřít tuto Rámcovou smlouvu; c) Klient poskytl Bance Podpisové vzory k Rámcové smlouvě; d) Klient prokázal Bance poskytnutí zajištění dluhů Klienta vzniklých na základě a v souvislosti s Rámcovou smlouvou a s poskytnutím Financování podle Rámcové smlouvy; a e) Klient poskytl Xxxxx další požadované dokumenty a splnil všechny podmínky stanovené v Rámcové smlouvě. Conditions Precedent to the First Drawdown. The first Drawdown shall be provided on the condition that: a) the Client has paid to the Bank the fees agreed in connection with the provision of Financing; b) the Client has provided the Bank with the documents proving that the Client’s authorised body (e.g., general meeting, supervisory board, municipal council) had granted its prior consent to the conclusion of the Frame Agreement if such consent is required by legal regulations, or decision of any other persons or public administration authorities of relevant jurisdiction authorising the Client to conclude the Frame Agreement; c) the Client provided the Bank with Specimen Signatures for the Frame Agreement; d) the Client has proven to the Bank that the security of the Client’s debts arising from and in relation to the Frame Agreement and to the provision of Financing under the Frame Agreement has been provided; and e) The Client has provided the Bank with other required documents and fulfilled all the conditions set out in the Frame Agreement.
