Following the financial crisis, several lawsuits have pursued personal liability for members of man- agement. This trend has emphasized the potential risk involved with being a director or an officer and created a great interest in issues related to management liability. One of these issues is risk manage- ment including Directors and Officers liability insurance (D&O insurance), which is a way to cover the risk of personal liability. The purpose of this thesis is to determine how a D&O insurance covers management liability and whether a D&O insurance will have considerable implications according to company law and law of torts.
