CONTRACTUAL BASIS. 1.1 Deliveries and Services (jointly “Services”) from the contractual partner (“Partner”) to Sono Motors GmbH (“Sono”) shall be governed by the following terms and conditions of Sono unless expressly agreed upon otherwise in writing by the contractual parties. The agreements listed hereinafter – available upon request – shall apply. In case of conflict, they shall take precedence in the following order: Framework Contract or Order (also “Purchase Order”, “Delivery Contract”, or “Nomination Letter”), delivery schedule, Quality Management Agreement (QMA), Terms of Purchase for Production Material (ToP-Prod), Terms of Purchase for Development Work (ToP-DW), these General Terms of Purchase (GTP), and the Code of Conduct (CoC). If an agreement references annexes or other applicable documents, these documents shall be equal in rank to the respective agreement. 1.2 The General Terms and Conditions of the Partner or amendments suggested by the Partner shall not apply, even if ▇▇▇▇ has not expressly objected to them. 1.3 Orders placed by Sono and any modifications of existing orders must be effected in writing. In case Sono places an order in writing or requests a written modification of an existing order, acceptance by the Partner shall also be effected in writing, but is still valid when effected orally or by implication. Mutual oral agreements shall only be valid if explicitly confirmed in writing by ▇▇▇▇. In case the Partner does not accept an order placed by Sono within a period of two weeks after receipt of the order, Sono shall be entitled to withdraw the order in writing. The order shall remain valid until written withdrawal has been received. 1.4 After consulting with the Partner, Sono shall be entitled to request a modification of the services and/or the subject of service provision that are agreed upon in the contract. The Partner shall be obligated to implement these modifications unless unreasonable. The Partner shall notify Sono of the potential consequences of the modifications without undue delay and in writing. Remuneration and schedule shall remain unchanged unless agreed upon otherwise in writing.
CONTRACTUAL BASIS. 1.1 Deliveries from the supplier (“Partner”) to Sono Motors GmbH or any of its affiliated enterprises (pursuant to Section 15 German Stock Corporation Act (Aktiengesetz, AktG)) (“Sono”) shall be governed by the following terms and conditions of Sono unless expressly agreed upon otherwise in writing by the contractual parties. In case of conflict, the agreements listed below shall apply in the following order of precedence: Framework Contract or Order, Delivery Schedule, Quality Management Agreement (QMA), these Terms of Purchase for Production Material (ToP-Prod), General Terms of Purchase (GTP), and Code of Conduct (CoC). If an agreement references annexes or other applicable documents, these documents shall be equal in rank to the respective agreement. 1.2 A Framework Contract shall be deemed concluded once the Partner confirms, in writing or electronically, an offer for the conclusion of a Frame- work Contract submitted by Sono or once the Partner, upon receipt of any such offer, starts rendering the services specified therein. 1.3 The General Terms and Conditions of the Partner or amendments suggested by the Partner shall not apply, even if ▇▇▇▇ has not expressly objected to them.
