Acquired Units definition

Acquired Units means the Units acquired by the Corporate Taxpayer in the Reorganization.
Acquired Units is defined in Section 2.2.

  • Notwithstanding anything herein to the contrary, all amounts payable to a Blocker Shareholder (with respect to the Acquired Units) in respect of IPO Basis shall be paid to such Blocker Shareholder as such amounts become due and payable hereunder and no amounts payable to a Blocker Shareholder shall be held back pursuant to the first sentence of this Section 3.6. Acquired Units is defined in Section 3.1.
Acquired Units means the Buyer Units that SCB Partners is acquiring directly or indirectly pursuant to this Agreement, provided that, for purposes of Section 5.10, “Acquired Units” shall also refer to any securities or other interests of Buyer, Alliance Holding or any of their successors issued, exchanged or otherwise received, directly or indirectly, in respect of any Acquired Units.
