Company Units definition

Company Units has the meaning set forth in the Recitals.

Company Units means, collectively, the units of interest in the Company, which are represented by the Company Class A Units, Company Class A-1 Units and Company Class B Units.

Company Units means the Common Units and the Restricted Common Units.

Examples of Company Units in a sentence

• Each certificate formerly representing Company Units shall thereafter represent only the right to receive the holder’s pro rata share of the Closing Share Consideration as well as a contingent right to receive its pro rata share of the Level 1 Earnout Consideration and the Level 2 Earnout Consideration.

• Each certificate previously evidencing Company Units shall be exchanged for a certificate (if requested) representing the holder’s pro rata share of the Closing Share Consideration upon the surrender of such certificate in accordance with this Section 1.15.

• As of the date hereof, there is one legal (registered) and beneficial owners of all of the issued and outstanding Company Units as set forth on Schedule 6.3(a), all of which Company Units are owned by the holder free and clear of any Liens other than those imposed under the Company Organizational Documents and applicable securities Laws.

• The holders of certificates previously evidencing Company Units outstanding immediately prior to the Second Effective Time shall cease to have any rights with respect to such equity interests, except as provided herein or by Law.

• All securities issued upon the surrender of Company Units in accordance with the terms hereof shall be deemed to have been issued in full satisfaction of all rights pertaining to such securities, provided that any restrictions on the sale and transfer of Company Units shall also apply to the Pubco Common Stock so issued in exchange.

Company Units has the meaning set forth in Section 3.1(a)(iii).

Company Units means, collectively, the Company Series A Preferred Units and the Company Common Units.

Company Units means all of the issued and outstanding Common Units, Series A Preferred Units, Series B Preferred Units and Equity Incentive Units of the Company.

Company Units means (i) any Common Units (including any vested Class B Common Units) purchased or otherwise acquired by any unitholder, (ii) any unvested Class B Common Units, (iii) any Common Units issued or issuable directly or indirectly upon the exercise or exchange of any securities purchased or otherwise acquired by any unitholder which are convertible into or exchangeable for the Company Units described in clause (i) (including pursuant to options to purchase Company Units granted by the Company), and (iv) any Common Units issued or issuable directly or indirectly with respect to the Common Units referred to in clauses (i), (ii) or (iii) above by way of unit distribution or unit split or in connection with a combination of units, recapitalization, merger, consolidation or other reorganization (including any equity securities issued in connection with the conversion of the Company from a limited liability company to a corporation as contemplated in Section 14.1 of the LLC Agreement or otherwise). As to any particular securities constituting Company Units hereunder, such securities shall cease to be Company Units when they have been sold in a Public Sale in accordance with the terms of this Agreement.

Company Units means Units of the Company, as such term is defined in the LLC Agreement.
