Additional Foreign Subsidiary Borrower Sublimit definition

Additional Foreign Subsidiary Borrower Sublimit means such sublimit made available to an Additional Foreign Subsidiary Borrower in accordance with Section 12.1(c) (for the avoidance of doubt, such Additional Foreign Subsidiary Borrower Sublimit will reduce dollar-for-dollar (or the equivalent in any other currency) the otherwise available Multicurrency Revolving Commitment available to the other Borrowers hereunder).

Related to Additional Foreign Subsidiary Borrower Sublimit

  • Foreign Subsidiary Borrower means any Eligible Foreign Subsidiary that becomes a Foreign Subsidiary Borrower pursuant to Section 2.23 and that has not ceased to be a Foreign Subsidiary Borrower pursuant to such Section.

  • Domestic Subsidiary Borrower any Subsidiary Borrower which is a Domestic Subsidiary.

  • Foreign Borrowing Base means, as of any date, an amount equal to:

  • Subsidiary Borrowers as defined in the preamble hereto.

  • Domestic Borrowing Base means, at any time of calculation, an amount equal to:

  • Subsidiary Borrower means, individually and collectively, as the context requires, each Subsidiary that is or becomes a “Borrower” in accordance with Section 2.22; in each case, unless and until it becomes a “Terminated Subsidiary Borrower”.

  • Canadian Borrowing Base means, at any time, an amount in Dollars equal to:

  • Foreign Borrowers means the Canadian Borrower, the Dutch Borrower, and the U.K. Borrowers.

  • U.S. Borrowing Base means, as of any date of determination, the result of:

  • Domestic Borrower means any Borrower organized under the laws of the United States of America or any state of the United States of America.

  • Foreign Borrower means any Borrower that is organized under the laws of a jurisdiction other than the Unites States, a state thereof or the District of Columbia.

  • Domestic Loan Party means any Loan Party organized under the laws of any state of the United States of America or the District of Columbia.

  • Subsidiary Loan Party means each Subsidiary of the Borrower that is a party to the Guarantee Agreement.

  • Domestic Obligations means all Obligations owing by the Domestic Loan Parties (other than in respect of Guarantees of Foreign Obligations pursuant to Article IV).

  • Canadian Swingline Loan means a Swingline Loan made to the Canadian Borrower.

  • Affected Foreign Subsidiary means any Foreign Subsidiary to the extent such Foreign Subsidiary acting as a Subsidiary Guarantor would cause a Deemed Dividend Problem.

  • Foreign Subsidiary means any Subsidiary that is not a Domestic Subsidiary.

  • Tranche A Borrowing Base means, at any time of calculation, an amount equal to:

  • Canadian Borrower as defined in the preamble hereto.

  • German Borrower means (a) any Borrower that is a resident for tax purposes in Germany and (b) any Borrower in respect of which written notice is given to the Administrative Agent (by the Company) prior to that Borrower becoming a Borrower hereunder that such Borrower is resident in Germany for German tax purposes.

  • Canadian Borrowing means a Borrowing of Canadian Loans.

  • Revolving Facility Borrowing means a Borrowing comprised of Revolving Facility Loans.

  • Canadian Borrowers has the meaning specified in the preamble to this Agreement.

  • Domestic Loan Parties means, collectively, the Company and the Guarantors.

  • U.S. Borrower means any Borrower that is a U.S. Person.

  • Canadian Subsidiary means any Subsidiary that is organized under the laws of Canada or any province or territory thereof.
