The Buyer and the Parent shall be entitled to have access to the books and records of the Companies and the Sellers’ work papers prepared in connection with the Adjustment Balance Sheet and Estimated Closing Net Working Capital Statement and shall be entitled to discuss such books and records and work papers with the Sellers and those other persons responsible for the preparation thereof.
If the Parties fail to mutually agree on the Adjustment Balance Sheet, then the Buyer may terminate this Agreement in accordance with Section 7.01(d) hereof.
Following the delivery of the Closing Adjustment Balance Sheet and the Estimated Adjustment Statement, Parent and the Parent Subsidiaries shall afford to Purchaser reasonable access during normal business hours to all such supporting documentation, Records and other information of Parent and the Parent Subsidiaries as Purchaser may in good faith request to the extent relevant to the calculation of the Estimated Adjustment Amount or the matters set forth in the Estimated Adjustment Statement.
All accounting terms not specifically defined in this Agreement shall be interpreted in accordance with GAAP and all determinations of an accounting nature in respect of the Acquired Companies, Managed Joint Ventures and other Non-Controlled Joint Ventures shall be made in a manner consistent with GAAP and, for the avoidance of doubt, shall be interpreted as set forth, where applicable, in accordance with Schedule 1.1(b) (Adjustment Balance Sheet).
Buyer shall have a reasonable period of time to review the Adjustment Balance Sheet and related work papers and ask questions of the Company and the Company’s accountant regarding the same until the Parties mutually agree on the Adjustment Balance Sheet.
The actual stockholders' equity on the Adjustment Balance Sheet shall be further adjusted in the event that KPMG requires any changes to stockholders' equity as a result of requiring changes in the "Allowance for Losses" account shown on the Current Balance Sheet, but adjusted for unearned discount (as so adjusted, "Allowance for Losses") against the "Notes Receivable--C.A.R.
Such amendment will be made within 14 days of receipt by Tournigan of the Adjustment Balance Sheet.
Following delivery of the Adjusted Balance Sheet and Estimated Net Working Capital Statement, the Company shall provide the Buyer with reasonable access, during normal business hours, to its books and records (including financial records and supporting documents) and to its accountants, as Buyer may reasonably request in connection with its review of the Adjustment Balance Sheet and Estimated Net Working Capital Statement.
